These Terms and Conditions ("Terms") govern your use of the website and services provided by Flinket Services Private Limited ("Flinket", "we", "us", or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Definitions

• "Services" refers to software development, AI product development, technology consulting, staff augmentation, and any other professional services offered by Flinket.
• "Client" refers to any individual or entity that engages Flinket for Services.
• "Website" refers to flinket.com and all associated subdomains.
• "Deliverables" refers to any software, code, documentation, or other materials produced by Flinket as part of a service engagement.

2. Use of Website

You may use our website for lawful purposes only. You agree not to:

• Use the website in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to any part of the website or its systems
• Use automated tools to scrape, crawl, or extract data from the website without permission
• Transmit any malicious code, viruses, or harmful content

3. Services and Engagements

All service engagements are governed by a separate Statement of Work (SOW) or service agreement executed between Flinket and the Client. These Terms apply in addition to any such agreements. In case of conflict, the specific service agreement shall prevail.

4. Intellectual Property

4.1 Flinket IP

All content on this website, including but not limited to text, graphics, logos, images, and software, is the property of Flinket Services Private Limited and is protected by intellectual property laws.

4.2 Client Deliverables

Ownership of Deliverables produced under a service engagement shall be as specified in the applicable service agreement. Unless otherwise agreed in writing, upon full payment, the Client receives ownership of custom Deliverables created specifically for the engagement.

4.3 Pre-existing IP

Each party retains ownership of its pre-existing intellectual property. Flinket retains ownership of frameworks, tools, libraries, and methodologies developed independently or prior to the engagement.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during a service engagement. This obligation survives the termination of any agreement between the parties.

6. Payment Terms

Payment terms for services shall be as specified in the applicable service agreement or invoice. Unless otherwise agreed:

• Invoices are due within 15 days of issuance
• Late payments may incur interest at 1.5% per month
• All fees are exclusive of applicable taxes unless stated otherwise

7. Limitation of Liability

To the maximum extent permitted by law:

• Flinket shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claim arising from our services shall not exceed the fees paid by the Client for the specific engagement giving rise to the claim
• We provide our website "as is" without warranties of any kind

8. Indemnification

You agree to indemnify and hold harmless Flinket, its directors, officers, employees, and agents from any claims, damages, or expenses arising from your use of our website or breach of these Terms.

9. Termination

We reserve the right to terminate or suspend access to our website at any time without notice. Termination of service engagements shall be governed by the applicable service agreement.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.

11. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, or infrastructure failures.

12. Modifications

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the website. Your continued use of the website after changes constitutes acceptance of the modified Terms.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
